Update on Proposed Constitutional Changes

The 31 October Extraordinary General Meeting (EGM) focus solely on separating the roles of President and Board Chair and embedding the College Council in the Constitution. In response to member concerns and feedback, other governance changes are not part of the vote.
The Board has agreed to consult further with members on other proposals (the establishment of a Nominations Committee which selects which candidates qualify for member elected Board roles and which selects which candidates qualify for Appointed director roles and proposed changes to the composition of the Board with the removal of the Trainee director, Aotearoa New Zealand President and President-Elect roles. The President-Elect would be replaced with the Vice President role which would also be a member of Council).
Any constitutional changes continue to need a vote of the membership to be approved.
The Board recommends members vote Yes to the proposed constitutional change, with one Director - the President-Elect - dissenting

Proposed Constitutional Changes - 30 May
The Board proposed amendments to the College Constitution at the general meeting held on 30 May 2025.
Members were invited to provide feedback on the proposed changes, as outlined in the Member Consultation Information paper (PDF). A high-level, diagrammatic summary of the governance changes was also provided.
The Member Consultation Information document forms the basis for the Board’s consultation events with members, and members are encouraged to provide feedback on it.
The document was approved by a majority of the Board on 17 May 2025. One director — the President elect — didn't support the proposed changes.
Member contact details requested - Legal requirement
We have received a request from the President-elect Dr Chandran under the Corporations Act 2001 to be sent the names, email addresses, physical addresses and date of membership of all 33,000 College members.
The President-elect wishes to communicate with you regarding constitutional changes and resolutions concerning the removal of Directors which will be put to member votes at the upcoming Extraordinary General Meetings, which is her right.
The application for this request was made in accordance with the Corporations Act and the College is required at law to provide the member details.
