RACP Board requests ACNC involvement in College governance

Dear members

The Board of the Royal Australasian College of Physicians has resolved to formally seek the involvement of the Australian Charities and Not-for-profits Commission (ACNC) in the governance of the College.

Following a resolution of the Board, the College has asked the Commissioner of the ACNC to exercise her powers to:

  • immediately suspend each of the College’s responsible entities (being the Directors of the College)
  • consider the appropriateness of removing any responsible entity once the suspension has commenced
  • appoint acting responsible entities (i.e. Directors) to enable the College to remain compliant with requirements under the Corporations Act and continue to deliver its charitable mission.

This decision has been taken following a prolonged period of governance difficulty, which has significantly affected the Board’s ability to operate effectively and complete its work.

Despite sustained efforts to address these challenges, the Board has formed the view that it cannot, in its current circumstances, consistently meet the standards expected of it or fully discharge its responsibilities.

The Board considers that independent regulatory involvement is the most appropriate course to support the restoration of effective, stable and accountable governance.

This approach reflects the Board’s collective responsibility to act to protect the long-term integrity of the College and the interests of members, trainees and the communities we serve.

The Board is aware that an Extraordinary General Meeting (EGM) has been requisitioned in relation to the position of the President.

This communication and requested regulator involvement is not intended to influence the outcome of that process.

The current Board will not take any action to alter, delay or interfere with members’ rights to vote, and will implement the outcome of the EGM in accordance with the College’s Constitution.

The College’s core functions – including training, education and member services – will continue, and arrangements are being put in place to ensure operational stability.

We recognise that this is a significant development. Further updates will be provided as matters progress.
